The Stock Exchange of Hong Kong Limited has censured Keyne Ltd (formerly known as Nine Express Limited) and several directors, including Ms Qian Ling Ling (chairman and executive director), Mr Zhang Li (executive director and chief executive officer), Mr Xiang Junjie (executive director), Mr Tang Ping Sum (independent non-executive director), Mr Tsui Pui Hung, Walter (independent non-executive director), and Mr Chiu Sin Nang, Kenny (former independent non-executive director). The directors have been directed to attend training. The company’s internal controls for notifiable and connected transactions were also found to be deficient, but the audit committee failed to take adequate steps to address them. Shareholders were deprived of material information and their right to vote on the arrangement due to these deficiencies.
